Description: Position: Intermediate-Senior Corporate and Securities Paralegal / Law Clerk. League Assets Corp. is looking for a talented individual with the right skills and experience to support the business today and in the future in Victoria, British Columbia. He or she will be an integral member of the in house legal team and will assist with various securities and corporate transactions including private placements, public company / exchange filings, and the preparation of offering memoranda and prospectuses. Responsibilities will include but not be limited to: • Supporting the legal team in the preparation, approval and maintenance of all offering materials. • Completing filings on SEDAR, SEDI, NRD. • Preparing and coordinating materials for shareholders' meetings including proxy materials. • Managing the company’s legal filing requirements with respect to his registrations with the Canadian securities regulatory authority. • Supporting the Chief Compliance Officer in meeting regulatory requirements of a registrant. • Maintaining the corporate records of the Company and its subsidiaries. • Preparing minutes and resolutions relating to ordinary course matters, such as annual approvals, and to extraordinary matters, such as internal reorganizations. • Preparing the necessary forms and documents for required filings such as annual returns, notices of change and Corporations Returns Act. • Supporting the legal team with coordinating and preparing documents for transactions. • Creating and maintaining monthly and quarterly risk & compliance reports for management review and to support public filings. • Drafting and revising: general correspondence; financing documents / agreements including offering memoranda, prospectuses and investment overviews as well as for other securities transactions. • Assisting in the development of continuous disclosure documents for public companies including quarterly and annual filings; other public company filings. • Preparation of an inventory of documents; maintenance of document files and case correspondence; storage, cataloguing and maintenance of current legal volumes. • Assisting with the organization of transaction and the preparation of certain documents for filings. Qualifications: In addition to being highly motivated and organized, to be considered a strong candidate we are looking for the following: • An undergraduate degree or an equivalent community college degree and 2-3 years of experience in a legal environment, knowledge the financial services industry and understanding of the capital markets • Sound judgment, initiative and the ability to work independently • Strong interpersonal, communication and organizational skills. • Excellent project management skills to oversee the implementation of projects, handle multiple requirements concurrently and prioritize tasks appropriately • Advanced computer/reporting application skills (Word, Excel, Access, PowerPoint, MS Project, Visio).
